1. About Notem
Notem is an AI meeting-notes software service operated by Intelligent SaaS, a sole proprietorship registered in Pakistan with the Federal Board of Revenue (FBR). These Terms form an agreement between you and Intelligent SaaS concerning your use of notem.live, app.notem.live, and the Notem service.
Questions about these Terms may be sent to support@notem.live.
2. Acceptance and eligibility
By creating an account, purchasing access, or using Notem, you agree to these Terms and acknowledge the Privacy Policy. If you use Notem for an organization, you confirm that you have authority to bind that organization. You must be legally capable of entering this agreement and using the service under applicable law. Notem is a general business and productivity service and is not directed to children.
3. The service
Notem can connect supported calendars, join supported meetings through a meeting bot, accept manual meeting links and audio recording uploads, transcribe conversations, and create AI-generated Summary, Key Notes, Decisions, and Action Items. You can ask your Notem assistant questions about authorized meeting information, compare decisions and draft follow-ups. Answers use selected sources and may not cover every meeting; check important claims against source references. It also provides a historical Meeting Workspace, Share Notes bearer links, permitted email delivery, and subscription or pay-as-you-go access.
Features may depend on third-party services and may change where reasonably necessary to maintain, secure, or improve the service. We do not guarantee uninterrupted availability.
4. Your account
You must provide accurate information, keep access to your email and account secure, and promptly notify support@notem.live of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by Notem's failure to use reasonable safeguards.
5. Recording, transcription, and participant consent
You are responsible for meeting all notice, permission, consent, and lawful-basis requirements that apply to a meeting. This includes requirements to invite or use a meeting bot, record or upload a conversation, transcribe it, process participant information, generate notes, and share or email those notes.
Recording and consent rules differ by jurisdiction and context. Notem does not determine whether a recording is lawful and use of Notem does not itself make recording lawful. You should inform participants and obtain consent whenever required.
6. Your content and permission to process it
You retain the rights you hold in meeting audio, recordings, transcripts, metadata, and generated notes. You grant Intelligent SaaS a limited, non-exclusive right to receive, temporarily store, transmit, transcribe, process, analyze, and display that content; generate notes; send emails you permit; provide sharing you enable; and otherwise operate, support, and secure Notem.
This permission lasts only as needed to provide the service and meet legitimate operational or legal obligations. It does not transfer ownership of your meeting content to Notem. You confirm that you have the rights required to provide the content for these purposes.
7. Transcription and AI output
Transcripts and AI-generated notes may contain errors, omissions, or misattributions. Review important information against the original conversation before relying on it. Notem does not guarantee perfect transcription or summarization. Generated output is informational and is not authoritative legal, medical, financial, or other professional advice. You remain responsible for decisions made using it.
9. Acceptable use
You may not use Notem for unlawful or unauthorized recording; infringement; unauthorized access; malware or security abuse; circumventing service restrictions; misuse of another person's information; fraudulent billing or use; or unreasonable automated activity that harms the service or others. You may not interfere with, reverse engineer where prohibited, or attempt to gain access to systems or data you are not authorized to use.
10. Plans, balance, and billing
The free trial lasts 7 days and permits a maximum of 7 meetings. Basic costs USD $8 per month and includes 1,000 minutes per monthly billing period. Pro costs USD $18 per month and includes 2,500 minutes per monthly billing period. Basic and Pro renew monthly until cancelled: the subscription is charged again and the included minutes reset to the full allowance. Unused minutes do not roll over. Each successfully processed recording is rounded up separately to the next whole minute. For example, a 10-minute, 1-second meeting uses 11 minutes. A meeting already in progress can finish; further meetings are blocked when the allowance is used.
Pay As You Go uses Notem Balance at USD $0.01 per started authoritative billable minute. Top-ups range from USD $2 to USD $100. Current pricing and allowances are shown before purchase.
Paddle is the Merchant of Record for purchases processed through Paddle. Paddle handles checkout, available payment methods, recurring payment processing, applicable transaction taxes, invoices, and transaction refunds. Intelligent SaaS does not receive or store your full raw card details from Paddle checkout. Your purchase may also be subject to Paddle's buyer terms.
AI credits: The trial includes 100 free AI credits to try Light. Where available, the AI subscription adds 1,000 credits for $2/month and renews automatically until cancelled. Basic is $8/month alone or $10/month with AI credits; Pro is $18/month alone or $20/month with AI credits, before tax. AI credits also work alongside PAYG and are tracked separately from recording allowances and Notem Balance. Purchased credits unlock Super; Light supports everyday assistance. Credit use varies by request and mode, so credits do not guarantee a fixed number of answers.
Monthly AI credits expire at their applicable period end without rollover. Where available, an extra one-time $2 pack adds 1,000 credits valid for one calendar month from payment confirmation. Extra packs do not reset subscription dates or extend older credits. Older purchases retain their recorded expiry terms. New meeting subscriptions purchased with AI share the monthly billing cycle; AI added separately has its own renewal date. Manage AI renewal separately in Billing. Cancelling stops future AI renewal charges; remaining credits keep their recorded expiry. Cancelling a meeting plan does not cancel a separate AI subscription. AI credits do not restore an expired trial or increase recording allowances. Check Billing for purchase availability.
11. Renewals, plan changes, cancellation, and payment failure
Basic and Pro renew automatically each month unless cancelled. An upgrade from Basic to Pro takes effect immediately with Paddle-calculated proration. A change from Pro to Basic is scheduled for the next billing period, and Pro entitlement continues through the current paid period.
When cancellation is scheduled, renewal stops and new live bot joins are blocked under the implemented cancellation rules. Audio Upload remains usable through the paid-through date subject to remaining allowance, and already admitted processing may finish. Account access and historical generated notes remain available. After the paid-through date, new processing requires an eligible plan or balance; you may resubscribe later.
If a subscription becomes past due, new processing may be temporarily blocked while account access and historical notes remain available. Processing can resume after successful payment recovery under the implemented billing rules.
12. Refunds
Refund requests are handled under the Refund Policy. Contact support@notem.live for genuine duplicate or incorrect charges, material technical issues, or other refund requests. Mandatory consumer rights remain unaffected.
13. Third-party services
Notem currently relies on Google and Microsoft for supported authentication and calendar connections; Skribby for meeting-bot operation; Soniox for transcription; OpenAI for AI note generation; Resend for transactional email; Paddle for commerce as Merchant of Record; and Google Cloud for application infrastructure. These providers operate under their own terms and may process information in multiple jurisdictions. Their availability is outside Notem's complete control.
14. Data retention
Notem's application lifecycle retains source audio or recordings for no more than 7 days and may delete them earlier after successful processing. Transcripts are retained for no more than 90 days. Generated Summary, Key Notes, Decisions, and Action Items are retained for historical access. Financial, legal, security, and operational records may follow separate schedules. See the Privacy Policy.
15. Intellectual property
You retain applicable rights in your content. Intelligent SaaS retains its rights in the Notem software, service architecture, branding, product materials, and proprietary technology. No rights are granted except those expressly stated in these Terms.
16. Suspension and termination
We may restrict or suspend service when reasonably necessary to address a security threat, abuse, unlawful activity, fraud, nonpayment, or a material violation of these Terms. We will use proportionate measures where practical. Access or data may also be restricted or deleted when required by law, necessary for security, or consistent with the Privacy Policy.
17. Warranties and liability
Notem is provided on an "as available" basis. To the extent permitted by law, Intelligent SaaS disclaims implied warranties that cannot reasonably apply to this service, while preserving warranties and consumer rights that cannot lawfully be excluded. We are not responsible for errors inherent in AI output, transcription, or third-party services where we have used reasonable care.
To the extent permitted by law, Intelligent SaaS will not be liable for indirect or consequential loss that was not reasonably foreseeable. For direct claims, aggregate liability will not exceed the greater of the amount you paid for Notem in the 12 months before the event giving rise to the claim or USD $100. These limits do not apply where exclusion or limitation is prohibited, including liability that cannot lawfully be limited.
18. Responsibility for misuse
If your unlawful use, unauthorized recording, or infringement causes a third-party claim against Intelligent SaaS, you will be responsible for reasonable resulting losses and costs to the extent caused by your breach, subject to applicable law and fair notice and control of the defense. This does not require you to cover losses caused by Intelligent SaaS.
19. Governing law and disputes
These Terms are governed by the laws of Pakistan, subject to any mandatory rights available to you under applicable law. Before formal proceedings, please contact support@notem.live so the parties can try to resolve the issue in good faith. Nothing here removes mandatory consumer protections or access to a forum that applicable law requires.
20. Changes and contact
We may update these Terms to reflect service, legal, or operational changes. We will publish the updated date and provide additional notice where required. Continued use after an update takes effect constitutes acceptance only where permitted by law. Contact support@notem.live with questions.
